These Terms govern all interactions with MattaLabs Foods, including online orders, electronic communication, telephone or in-person transactions, and proprietary product sales.

3. Authorized Distributor Status

Exclusive distribution rights for select products.
Proprietary brands may only be sold by authorized distributors.
Written authorization required; unauthorized sales are breaches.

4. Prohibition on Self-Sourcing

Distributors cannot source products independently from third parties. Violations result in immediate termination and legal action.

5. Wholesale Purchase Terms

Minimum Order Quantities (MOQs) must be strictly followed.

12. Modifications of Terms

MattaLabs Foods may amend terms at any time; continued use constitutes acceptance.

13. Rights to Amend Terms for Existing Distributors

Unilateral amendments are enforceable immediately upon posting.

14. Exclusive Control and Product Monopoly

MattaLabs Foods retains exclusive control over all brands and distribution channels. Verification of operational info may be requested to ensure compliance. Violations lead to immediate termination and legal action.

15. Finality of Sales and Product Liability

All sales are final; no returns or exchanges allowed except official recalls. Compliance with recalls is mandatory; non-compliance is a breach. MattaLabs Foods is not liable for product loss/damage after delivery unless gross negligence is proven.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of Canada. Disputes resolved via binding arbitration in Vancouver, BC, Canada.
